Should one or more provisions of these Terms and Conditions be declared null and void, invalid or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by law.
5. Purchasing requirements
Purchases can be made by registering for a personal account or as a guest (“Guest Checkout”), where available.
Minors may only make purchases with the consent and under the supervision of a parent or legal guardian. The Customer is responsible for ensuring that the information provided during the purchase process is accurate, complete and truthful.
6. Languages
These Terms and Conditions may be made available in various languages, including Italian, English, French, Spanish, German and Arabic. In the event of any differences or discrepancies in interpretation between the various language versions, the Italian version shall prevail, to the extent permitted by applicable law.
7. Prices and currency
All prices published on MIOBUK websites are quoted in euros (€). Where available, the website may display an indicative conversion of prices into other currencies for information purposes only. The actual amount charged may vary depending on the exchange rate applied by the payment provider or the Customer’s bank.
Unless otherwise stated, prices include the applicable VAT and do not include any postage costs, customs duties, import taxes or other charges that may be payable in the country of destination.
8. Intellectual property
All content on the MIOBUK websites, including, but not limited to, text, photographs, images, videos, logos, trade marks, graphic elements, designs, layouts, digital content and promotional materials, is protected by current legislation on intellectual property.
The purchase of a MIOBUK Product does not confer upon the Customer any intellectual property rights, nor the right to use, reproduce, modify or distribute such content for commercial or promotional purposes without the prior written authorisation of Ghost Collection S.r.l. or the respective rights holders.
Trademarks, characters, works and other content belonging to third parties are used in accordance with the relevant authorisations and, where applicable, valid licence agreements.
9. Changes to these Terms
Ghost Collection S.r.l. reserves the right to update or amend these Terms and Conditions at any time. Any amendments will take effect from the date of their publication on the MIOBUK websites and will apply exclusively to orders placed after they come into force.
10. Related documents
These Terms and Conditions should be read in conjunction with the documents and information available on the MIOBUK websites, including:
- Privacy Statement;
- Shipping Information;
- Returns and Exchanges;
- Product Care;
- Authenticity Check;
- Domande frequenti.
Each document governs a specific aspect of the relationship between Ghost Collection S.r.l. and the Customer.
11. Product availability
MIOBUK is committed to keeping the information regarding product availability published on its websites up to date. However, given the dynamic nature of online sales, stock management and, where applicable, made-to-order production, the availability shown on the website cannot be guaranteed in real time.
Should a product prove to be unavailable after the order has been confirmed, MIOBUK will inform the Customer without delay and, where possible, may offer the option of waiting for the next restock, an alternative product of equivalent value, or a full refund of any amount already paid.
An automatic confirmation of receipt of the order does not, in itself, constitute a guarantee of the product’s definitive availability.
12. Formation of the contract
The submission of an order by the Customer constitutes an offer to purchase. The contract of sale is deemed to have been concluded when MIOBUK accepts the order and sends confirmation to the Customer or proceeds to dispatch the purchased products.
MIOBUK reserves the right not to accept an order, to the extent permitted by applicable law, if:
- the product is not available;
- there are obvious errors relating to the price or the product description;
- the payment is not authorised;
- the information provided by the Customer is incomplete, inaccurate or cannot be verified;
- there are reasonable grounds to believe that the order is fraudulent or has been placed in breach of these Terms and Conditions.
In such cases, the Customer will be informed as soon as possible and, if a payment has already been made, will be refunded any sums paid.
Payment method
Payment for products can be made using the payment methods available at the time of purchase and listed on the website. Payment is only considered authorised once the relevant transaction has been confirmed by the payment service provider.
Ghost Collection S.r.l. does not directly store full payment card details where the transaction is processed via external payment service providers, in accordance with the procedures laid down by those providers.
14. Limited Editions
Limited Editions are special productions manufactured in limited quantities. Unless otherwise stated, each Limited Edition may feature a stated maximum quantity, individual product numbering, an official Certificate of Authenticity and identification of the specific item within the relevant run.
Where applicable, the numbering is applied individually and identifies each item within that particular production run.
Unless otherwise expressly stated by MIOBUK, the same Limited Edition will not be reproduced in the same artistic and collectable form. This commitment applies exclusively to this specific edition, including its artwork, finishes, packaging, numbering and certification, and does not restrict MIOBUK’s ability to develop new works, artistic interpretations or collections in the future dedicated to the same theme, character, narrative universe or licence.
The designation “Limited Edition” does not constitute a promise or guarantee of financial appreciation, future collectable value or the possibility of reselling the product.
15. Certificate of Authenticity
Where applicable to a specific Limited Edition, each item is accompanied by an official Certificate of Authenticity. The Certificate certifies solely that the product forms part of the relevant limited production run and, where indicated, its corresponding number.
The Certificate does not constitute an expert report, an investment guarantee, a certification of future economic value or a promise that the product will appreciate in value.
16. Official licences
Some MIOBUK collections may be produced under licence agreements entered into with the respective rights holders. All trade marks, names, characters, works, logos and other content belonging to third parties remain the property of their respective owners.
The purchase of an officially licensed product does not confer upon the Customer any right to commercially exploit, reproduce, distribute or use the relevant works, trade marks or other protected content.
17. Accuracy of product information
MIOBUK endeavours to present its products on the website as accurately as possible. The photographs and images published are for illustrative purposes only. There may be slight differences in colour rendering, texture, brightness, reflections, materials, paper, printing, decorative edges, finishes or other details.
Such differences may be due to the device used by the Customer, the screen settings or the inherent characteristics of the materials and manufacturing processes; where they fall within normal manufacturing tolerances, they do not in themselves constitute a product defect.
18. Clerical errors
Should a product, due to a clerical error, be listed with a manifestly incorrect price or with clearly inaccurate information, MIOBUK reserves the right to correct the error even after the order has been placed, to the extent permitted by applicable legislation.
In such circumstances, the Customer will be informed promptly and may choose, where applicable, either to confirm the order under the correct terms and conditions or to cancel the order and receive a full refund of any sums already paid.
19. Use of the site
The Customer and any other user undertake to use the MIOBUK websites in accordance with the law, these Terms and Conditions, and the principles of fairness and good faith. Any use of the website intended, by way of example, to:
- to disrupt or attempt to disrupt the operation of the platform;
- collect or extract data using unauthorised automated systems;
- to circumvent or compromise security measures;
- introduce malicious software, code or elements;
- infringe the intellectual property rights of Ghost Collection S.r.l. or any third party.
20. Limitation of liability
To the extent permitted by law and subject to the provisions of mandatory consumer protection legislation, Ghost Collection S.r.l. shall not be liable for any indirect or consequential damages, loss of profit, loss of business opportunities or other damages not directly attributable to a breach of obligations under the law or the contract.
In any event, this is without prejudice to the liability provided for under the applicable mandatory provisions.
Force majeure
Ghost Collection S.r.l. shall not be liable for any delay or failure, whether total or partial, in the fulfilment of its obligations where such circumstances are caused by unforeseeable events or events otherwise beyond its reasonable control, including, but not limited to: natural disasters; fires; wars or conflicts; pandemics or health emergencies; strikes; power cuts or communication failures; measures taken by public authorities; malfunctions in payment services; delays attributable to suppliers or couriers.
In such circumstances, the deadlines for performance may be extended for the period strictly necessary, without prejudice to the non-waivable rights granted to the Customer under the applicable legislation.
22. Complaints and assistance
For any requests for assistance, information or complaints, the Customer may contact Customer Services at the following email address support@miobuk.it. Ghost Collection S.r.l. is committed to handling every enquiry professionally, transparently and as quickly as reasonably possible.
23. Governing law and jurisdiction
These Terms and Conditions are governed by Italian law, subject to the mandatory provisions applicable to consumers.
Where the Customer is a consumer, all rights recognised by the mandatory legislation of the Customer’s country of residence shall remain unaffected. Where the Customer acts as a consumer, jurisdiction shall be determined in accordance with the mandatory provisions laid down by law.
24. Alternative dispute resolution (ADR / ODR)
In accordance with the legislation governing e-commerce and consumer protection, Ghost Collection S.r.l. hereby informs Customers who qualify as consumers of the existence of the European platform for online dispute resolution (the so-called ODR platform), which can be accessed via the following official link: https://ec.europa.eu/consumers/odr/.
Consumer customers may use this platform to initiate an out-of-court dispute resolution procedure for any dispute relating to purchase contracts concluded online via the MIOBUK websites. The Data Controller’s email address for the purposes of the aforementioned procedure is: support@miobuk.it.
The use of the ODR platform and joint conciliation procedures/ADR remains entirely optional and in no way prejudices the consumer’s right to bring a claim before the competent court in accordance with the applicable legislation, nor their right to initiate mediation proceedings under Legislative Decree No. 28/2010.
